I thought I should start a new topic for this trust, which is in the Renewable Energy Infrastructure sector.

This is a cross post about an offer announced yesterday: viewtopic.php?p=439481#p439481

Drat, it's a bit annoying, I topped up SEIT (SDCL Energy Efficiency trust) a couple of weeks back (@118p) which also brought my holding to a nice round figure, and I don't really want anymore. Now today I get an odd number of shares offered to me through the offer below, at a discount price of 110.5p, (at a premium of 7.8% (a discount from the usual c 14% premium).

I suppose I shall have to buy the additional ones offered. (I'm a bit too late to sell some at c118p as the SP is now down to 113p)

Proposed Open Offer, Placing, Offer for Subscription and Intermediaries Offer

The Board of Directors (the "Board") of SDCL Energy Efficiency Income Trust plc announces a proposed Open Offer, Placing, Offer for Subscription and Intermediaries Offer to raise approximately £175 million through an issue of new Ordinary Shares in the capital of the Company at a price of 110.5 pence per share (the "Initial Issue").

Highlights:

· Initial Issue of approximately of 158,371,040 New Ordinary Shares at 110.5 pence per New Ordinary Shares (the "Issue Price") by way of an Open Offer, Placing, Offer for Subscription and Intermediaries Offer pursuant to the Share Issuance Programme.

· The Issue Price of 110.5 pence represents a 7.8 per cent premium to the Company's 31 March 2021 Net Asset Value (" NAV ") of 102.5 pence per Ordinary Share and a discount of 6.0 per cent to the Company's closing share price of 117.5 pence per Ordinary Share on 1 September 2021 (being the last business day prior to this Announcement);

· Shareholders who qualify for the Open Offer ("Qualifying Shareholders") will be offered the opportunity to participate in the Open Offer on the basis of 1 New Ordinary Share for every 6 Existing Ordinary Shares. Qualifying Shareholders will also be offered the opportunity to subscribe for New Ordinary Shares in addition to their Open Offer Entitlement under an excess application facility.

· Investors in the Initial Issue will be entitled to receive the next quarterly dividend declared by the Company for the three-month period to 31 September 2021, which is expected to be declared in December 2021.

And yes, I spotted the deliberate mistake. They don't know how many days there are in September. ;)

An increase in the dividend has also just been announced:

SDCL Energy Efficiency Income Trust plc is pleased to announce the first quarterly interim dividend in respect of the year ending 31 March 2022 of 1.405 pence per Ordinary Share. The shares will go ex-dividend on 9 September 2021 and the dividend will be paid on 30 September 2021 to shareholders on the register as at the close of business on 10 September 2021.

Further Investment in Europe


SEEIT, the first London Stock Exchange listed investment company of its kind to invest exclusively in the energy efficiency sector is pleased to provide an update on recent investment activity in Europe.

Investment in Operational Biomass Project in Portugal

SEEIT has agreed to acquire an 80% equity interest in a high-efficiency and operational biomass cogeneration plant, Sociedade de Iniciativa e Aproveitamentos Florestais - Energia, S.A. ("SIAF" or the "Project"), in Mangualde, Portugal from Capwatt S.A ("Capwatt"), for approximately €22 million.
The investment is funded from the Company's existing cash resources. SIAF's existing project finance green bond facility, which is equivalent to approximately €41 million, remains in place. Completion of the acquisition is expected in the coming weeks after satisfactory conclusion of customary lender consents and completion documentation.

Oliva Spanish Cogeneration

SEEIT has also acquired the interest of a minority shareholder of the Puente Genil projects ("Puente Genil") in Oliva Spanish Cogeneration for consideration of €12 million. Puente Genil comprises three of the nine projects in Oliva Spanish Cogeneration. SEEIT now has sole ownership of eight of the nine projects, with an offtaker retaining a minority interest in the other. The acquisition follows SEEIT's original investment in the 125 MW cogeneration portfolio in September 2019 and will enable it to support growth initiatives across these assets.

SDCL Energy Efficiency Income Trust plc (LSE: SEIT) ("SEEIT" or the "Company") today announced its financial results for the year ended 31 March 2022.
Highlights

· Net Asset Value ("NAV") per share[1] of 108.4p as at 31 March 2022, up from 102.5p as at 31 March 2021 and a total return on a NAV basis1 in the year of 11.2 %

· Profit Before Tax of £79.8 million for year to 31 March 2022, up from £32.4 million for the prior year to 31 March 2021

· Earnings per share of 10.0p for year to 31 March 2022 (March 2021: 7.0p)

· Aggregate dividends of 5.62p per share declared relating to the year ended 31 March 2022, in line with target

· Target dividend[2] of 6.00p per share for year to March 2023, a 7% increase from year to March 2022

· Portfolio Valuation1 of £913 million at 31 March 2022, up from £553 million at 31 March 2021

· Investment at fair value on balance sheet of £928 million at 31 March 2022, up from £573 million 31 March 2021

· Market Capitalisation of £1,164 million at 31 March 2022, up from £758 million at 31 March 2021 and a total shareholder return1 of 39.4 % since IPO to 24 June 2022
