Musk has joined an amicus brief in a case involving an ex CFO who is appealing the SEC's policy of
requiring settling defendants to agree not to deny the SEC’s allegations publicly nor to assert that the government’s complaint was unfounded.

That would still be an appeal, this isn't.

An amicus brief is made by a party who is not a party to proceedings, eg. this isn't his case.

...exactly. he is not appealing to, nor has he had an appeal accepted by, the Supreme Court.

Although the implications are a bit tenuous since Musk has not been pursued fir breaching the clause which is being contested.

May 6 (Reuters) - Elon Musk and Twitter Inc (TWTR.N) were sued on Friday by a Florida pension fund seeking to stop Musk from completing his $44 billion takeover of the social media company before 2025.

In a proposed class action filed in Delaware Chancery Court, the Orlando Police Pension Fund said Delaware law forbade a quick merger because Musk had agreements with other big Twitter shareholders, including his financial adviser Morgan Stanley (MS.N) and Twitter founder Jack Dorsey, to support the buyout.

The fund said those agreements made Musk, who owns 9.6% of Twitter, the effective "owner" of more than 15% of the company's shares. It said that required delaying the merger by three years unless two-thirds of shares not "owned" by him granted approval.

What do you mean? Fake accounts are exactly the sort of thing that somebody who was only in it to guarantee 'freedom of speech' and with no interest in the money would pull out over!

TSLA price closed at $985 on 14 April, the day the Twitter bid was announced (down from $1022 the day before).

Yesterday's close was $728, down 26% since 14 April.

He's using sales of TSLA and loans secured against it to finance the Twitter bid.

Aside from the debate about whether he was ever really serious even if the TSLA price had held up, I can't imagine why he's trying to wriggle out of the $1bn fee and/or negotiate a lower price now.

Interesting that Mudk has put the Tesla deal on hold:

From what I gather he has margined Tesla stock to make sure he has the cash available, but has not used any of the margin and Morgan Stanley are going around investors to drum up interest from other investors with various reports from many interested to few, so I don’t know.

Last I looked Twitter was well of it’s pretty market lows. Tesla likely rallies here as either an abandonment or a lower price or other investors would all take the need for margin on this. Margin would hurt Tesla if the stock falls & Musk has to sell to over margin call.

If it is established that Twitter mansgement have given false figures they are likely heading to the slammer & bankrupted by investors who have hurt by this and/or if Musk renegotiates a lower price.

What Twitter actually said:

We have performed an internal review of a sample of accounts and estimate that the average of false or spam accounts during the first quarter of 2022 represented fewer than 5% of our mDAU during the quarter. The false or spam accounts for a period represents the average of false or spam accounts in the samples during each monthly analysis period during the quarter. In making this determination, we applied significant judgment, so our estimation of false or spam accounts may not accurately represent the actual number of such accounts, and the actual number of false or spam accounts could be higher than we have estimated.


If they have knowingly given false figures, yes they could be in trouble. If they have made a good faith effort to estimate them and were wrong, no.

Either way, this isn't a sudden shock that has caused Musk to question the deal, lets not pretend like anyone believes it is.

If this turns out to have been not what a statistician would call reasonable then Twitter board are in trouble.
