Musk claimed the banks made him do it, which isn't an argument and that the SEC were overstepping by trying to enforce the agreement he signed. He also tried and failed to halt an investigation in to his Twitter poll about whether or not he should sell stock, and blatantly missed the notification deadline after his Twitter holding exceeded 5%.


There are various interpretations of what happened.

I expect an appeal.

UPDATE: New SEC filings released on April 29 reveal that Elon Musk sold an additional 5.2 million shares on April 28, valued at approximately $4.5 billion. This means Elon Musk sold a total of 9.6 million shares for about $8.5 billion this week. The offloaded shares represent 5.6% of his stake in the company.

Musk has joined an amicus brief in a case involving an ex CFO who is appealing the SEC's policy of
requiring settling defendants to agree not to deny the SEC’s allegations publicly nor to assert that the government’s complaint was unfounded.

That would still be an appeal, this isn't.

An amicus brief is made by a party who is not a party to proceedings, eg. this isn't his case.

May 6 (Reuters) - Elon Musk and Twitter Inc (TWTR.N) were sued on Friday by a Florida pension fund seeking to stop Musk from completing his $44 billion takeover of the social media company before 2025.

In a proposed class action filed in Delaware Chancery Court, the Orlando Police Pension Fund said Delaware law forbade a quick merger because Musk had agreements with other big Twitter shareholders, including his financial adviser Morgan Stanley (MS.N) and Twitter founder Jack Dorsey, to support the buyout.

The fund said those agreements made Musk, who owns 9.6% of Twitter, the effective "owner" of more than 15% of the company's shares. It said that required delaying the merger by three years unless two-thirds of shares not "owned" by him granted approval.

What do you mean? Fake accounts are exactly the sort of thing that somebody who was only in it to guarantee 'freedom of speech' and with no interest in the money would pull out over!

TSLA price closed at $985 on 14 April, the day the Twitter bid was announced (down from $1022 the day before).

Yesterday's close was $728, down 26% since 14 April.

He's using sales of TSLA and loans secured against it to finance the Twitter bid.

Aside from the debate about whether he was ever really serious even if the TSLA price had held up, I can't imagine why he's trying to wriggle out of the $1bn fee and/or negotiate a lower price now.
